Terms of Service

The terms and conditions governing your use of Balamec's services. Read these carefully before submitting a diagnosis or purchasing a report.

01 / Acceptance

Acceptance of Terms

By accessing balamec.com, submitting our Mexico Diagnosis questionnaire, or purchasing any of our services, you agree to these Terms of Service (the "Terms"). If you do not agree, do not use our services.

These Terms form a binding agreement between you ("Client," "you," or "your") and Balamec, operated by Mauricio Escalona, based in Veracruz, Mexico ("Balamec," "we," "us," or "our").

02 / Services

Description of services

Balamec offers three tiers of service:

Mexico Diagnosis (no cost)

A written diagnosis delivered within 3 business days that assesses whether Mexican manufacturing is viable for your specific product. Includes a verdict (viable, viable with conditions, or not your move), basic tariff math, and recommended next step. The diagnosis is provided at no cost and includes reasonable email follow-up at no additional charge for clarifying questions.

Scouting Report ($300 USD)

A paid, structured PDF report that builds on the diagnosis. Includes verified supplier profiles, MOQ and cost comparison, USMCA tariff analysis, realistic lead times, risks and red flags, and a specific recommended next step. Delivered via PDF only — does not include a phone or video call.

Supply Chain Setup (custom pricing)

A fixed-scope project in which we structure and oversee your Mexican supply chain through delivery of your first shipment. Scope, fees, and timeline are defined in a separate written engagement letter signed by both parties. A satisfaction guarantee applies (terms specified in the engagement letter).

We reserve the right to modify, suspend, or discontinue any service at any time without prior notice. Prices may change without prior notice — the prices in effect at the time of your purchase are the ones that apply.

03 / Eligibility

Who can use our services

Our services are intended for:

  • Businesses and individuals 18 years or older.
  • Established sellers — typically generating $100K–$500K USD per month in revenue, primarily through Amazon FBA or comparable channels.
  • Clients who can provide accurate information about their product, current sourcing, and volume.

We may decline service to anyone for any lawful reason, including if we determine that Mexican manufacturing is not viable for your product, or that we are not the right fit for your needs.

04 / Fees & payment

Payment terms

The Mexico Diagnosis is provided at no cost. The Scouting Report is paid in advance via the payment method specified at checkout. Supply Chain Setup fees are defined in a separate written engagement letter and typically require a deposit.

All fees are in U.S. dollars unless stated otherwise. You are responsible for any applicable taxes, duties, or transaction fees on your end.

Refund policy

Scouting Report — 14-day, no-questions-asked refund.

If you are not satisfied with your Scouting Report for any reason, email hector@balamec.com within 14 days of delivery and we'll refund you in full. No explanation required.

Refund terms for Supply Chain Setup are governed by the satisfaction guarantee defined in your engagement letter.

The Mexico Diagnosis is provided at no cost, so refunds do not apply.

05 / Nature of services

Professional opinion, not a guarantee

The diagnosis, report, and any advice we provide are professional opinions based on the information you provide and our experience in Mexican manufacturing. They are not guarantees of:

  • Specific business outcomes, cost savings, or profit margins.
  • Supplier performance, product quality, or delivery timelines.
  • Approval by U.S. Customs, USMCA qualification, or compliance with any specific regulation.
  • Suitability for any particular use case beyond what is explicitly addressed in your deliverable.

You are responsible for your own due diligence, including independent verification of suppliers, compliance requirements, and contractual arrangements. Our services do not constitute legal, financial, tax, or customs advice. For those matters, consult appropriately licensed professionals.

06 / Limitation of liability

Limits on what you can recover

To the maximum extent permitted by law:

  • Balamec's total liability for any claim arising out of or related to our services is limited to the amount you paid us in the 12 months prior to the event giving rise to the claim. For the no-cost Mexico Diagnosis, this amount is zero.
  • We are not liable for indirect, incidental, consequential, special, or punitive damages — including lost profits, lost revenue, business interruption, lost inventory value, supplier disputes, or damages arising from your reliance on our deliverables.
  • We are not liable for the acts or omissions of any third party, including manufacturers, distributors, logistics providers, payment processors, or Mexican authorities.

You agree that these limitations are an essential part of the agreement and reflect the no-cost or low-cost nature of our services.

07 / Intellectual property

Ownership of deliverables

All content we produce — the diagnosis, the Scouting Report, supplier profiles, methodology, templates, and any related materials — is the intellectual property of Balamec. Upon payment (where applicable), you receive a non-exclusive, non-transferable license to use the deliverables for your own business purposes only.

You may not:

  • Resell, redistribute, or share our deliverables with third parties (other than your own employees or advisors on a need-to-know basis).
  • Use our deliverables to train AI models or build derivative products.
  • Remove or alter any Balamec branding, attribution, or proprietary notices.

Any feedback or suggestions you provide may be used by us without obligation or attribution.

08 / Supplier engagement

Working with suppliers we introduce

When we identify or introduce you to a manufacturer or supplier as part of the Scouting Report or Supply Chain Setup, the following applies:

  • No direct circumvention. For a period of 12 months from the date we introduce you to a supplier, you agree not to engage that supplier directly, indirectly, or through any affiliate without going through Balamec — except where we have explicitly waived this restriction in writing.
  • This restriction protects the work we invest in vetting, qualifying, and introducing suppliers. Circumvention may result in a fee equal to the value of the work performed plus any applicable lost commissions.
  • Suppliers we identify may also be working with other Balamec clients. We are not exclusive agents of any supplier.
09 / Confidentiality

Mutual confidentiality

Both parties agree to keep confidential any non-public information shared during the engagement, including:

  • Your information: product specs, COGS, supplier relationships, business plans, and any other commercial details you share with us.
  • Our information: our supplier network, methodology, pricing structure beyond what is publicly listed, and the contents of any deliverable.

This obligation continues for 3 years after the engagement ends. It does not apply to information that is public, already known to the receiving party, or required to be disclosed by law.

10 / Termination

Ending the relationship

You may stop using our services at any time. We may terminate or refuse service to you, with or without notice, if:

  • You provide false or misleading information.
  • You violate these Terms, including the supplier engagement and confidentiality clauses.
  • You use our services in a way that is unlawful, abusive, or harmful to us or others.
  • You fail to pay fees when due.

Sections that by their nature should survive termination (Intellectual Property, Supplier Engagement, Confidentiality, Limitation of Liability, Disputes) will continue to apply.

11 / Disputes & governing law

How disputes are handled

These Terms and any dispute arising out of or related to them or our services are governed by the laws of the United Mexican States, without regard to its conflict-of-laws principles.

Any dispute that cannot be resolved by good-faith negotiation will be submitted to the exclusive jurisdiction of the competent courts of Veracruz, Veracruz, Mexico. You waive any objection to venue or jurisdiction in those courts.

You agree that disputes must be brought on an individual basis and not as part of a class action, collective action, or representative proceeding.

12 / Changes to Terms

Updates

We may update these Terms from time to time. When we do, we'll update the "Last updated" date at the top of this page. Continued use of our services after changes are posted constitutes acceptance of the updated Terms. Material changes will be communicated through the website or by email to active clients.

13 / Miscellaneous

General provisions

  • Entire agreement. These Terms, together with our Privacy Policy and any signed engagement letter, constitute the entire agreement between you and Balamec.
  • Severability. If any provision is found unenforceable, the rest remain in effect.
  • No waiver. Our failure to enforce any provision is not a waiver of our right to enforce it later.
  • Assignment. You may not assign or transfer these Terms without our written consent. We may assign these Terms in connection with a business transfer.
  • Language. These Terms are written in English. Any translation is for convenience only — the English version controls.
